A delivery note shall be attached to the corresponding invoice. State the ORDER number on both the delivery note and the invoice.<\/p>\n\n\n\n
All products supplied shall be subject to acceptance following the verification performed by COMET AEROSPACE upon receipt.<\/p>\n\n\n\n
Carriage shall always be at the supplier\u2019s expense unless expressly agreed otherwise.<\/p>\n\n\n\n
Goods travel at the supplier\u2019s risk; delivery deadlines end when the goods are received.<\/p>\n\n\n\n
The supplier must notify COMET AEROSPACE of any changes to product definition, processes or plant location.<\/p>\n\n\n\n
The supplier grants COMET AEROSPACE, its customer and the regulatory authorities access to all facilities involved in the ORDER and to all applicable records.<\/p>\n\n\n\n
The supplier undertakes to flow down to its subcontractors all requirements stated in the purchase documents, including key characteristics where applicable.<\/p>\n\n\n\n
The supplier shall manage, control and preserve, under suitable conditions, all records related to this Purchase Order for an indefinite period or until COMET AEROSPACE specifies otherwise, and shall hand them over to COMET AEROSPACE upon request or in the event of total or partial cessation of its activity.<\/p>\n\n\n\n
If COMET AEROSPACE decides to introduce changes to the baseline documentation after the supplier has performed the corresponding work, and such changes arise from design-criteria variations or any other reason beyond the supplier\u2019s responsibility, the supplier shall implement the changes at COMET AEROSPACE\u2019s request. Depending on their scope, these changes may lead to amendments of the relevant terms and conditions of the ORDER, which must be recorded in writing.<\/p>\n\n\n\n
A tolerance for minor variations exists: the supplier shall make free-of-charge changes up to a total value of 10 % of the ORDER. Such variations shall be documented in writing.<\/p>\n\n\n\n
When this tolerance is exceeded, or for major modifications, the supplier and COMET AEROSPACE shall agree on the amount to be applied and, where appropriate, on the amendment of other ORDER terms (e.g., deadline or delivery date). These changes must be formalised in writing and signed by authorised representatives of both parties.<\/p>\n\n\n\n
In addition to statutory grounds, COMET AEROSPACE may terminate the ORDER, in whole or in part, if any of the following occurs:<\/p>\n\n\n\n
Consequences<\/strong><\/p>\n\n\n\n For delays attributable to the supplier, COMET AEROSPACE may deduct 2 % of the ORDER amount per day of delay from outstanding invoices. After 20 days\u2019 delay, COMET AEROSPACE may terminate the ORDER.<\/p>\n\n\n\n Penalties also apply to missed intermediate milestones when a consensual schedule exists. The same 2 % rate is calculated on the value of the delayed work.<\/p>\n\n\n\n Penalties do not apply if delays are caused by force majeure or by COMET AEROSPACE\u2019s errors or changes.<\/p>\n\n\n\n Delivery is deemed complete once the product is received and finally approved by COMET AEROSPACE.<\/p>\n\n\n\n Total delay penalties shall not exceed 20 % of the ORDER value.<\/p>\n\n\n\n The supplier shall not disclose the existence of this ORDER or that it is working for COMET AEROSPACE without prior consent. The supplier may not use the COMET AEROSPACE name in any advertisement or job offer without prior written approval.<\/p>\n\n\n\n All information about COMET AEROSPACE accessed under this ORDER, whether technical or business-related, is confidential and may not be disclosed to third parties or used for purposes other than those of the ORDER. This obligation survives expiry of the ORDER and is governed by the current Non-Disclosure Agreement between COMET AEROSPACE and the supplier.<\/p>\n\n\n\n The supplier\u2019s warranty extends for two (2) years from COMET AEROSPACE\u2019s acceptance of the product.
